Terms of Service
Last updated: 1 September 2026 · Version 3
Operated by Avyren Inc. (Delaware C-Corp), including its wholly-owned subsidiary Avyren (Pty) Ltd.
1. Agreement to Terms
By accessing or using Quantorum (the “Service”), operated by Avyren Inc. (“Avyren,” “Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, our Refund and Dispute Policy, and our Cancellation Policy, each incorporated by reference. If you do not agree, you may not access or use the Service. We may update these Terms from time to time; continued use after a change constitutes acceptance. Contact: founders@avyren.ai.
2. Eligibility and Authority to Bind
You must be at least 18, or the age of majority in your jurisdiction, and legally able to enter a binding agreement. If you use Quantorum on behalf of a company, fund, trading desk, or other entity, you represent that you have authority to bind that entity to these Terms. Your use of the Service, and your trading activity, must not violate any law or regulation applicable to you, including any restriction on the instruments you connect or trade. We may refuse service, suspend, or terminate accounts at our discretion.
3. Description of Service
Quantorum is an AI-assisted market analysis and trading support platform. The Service includes: (a) an adversarial multi-agent council that analyses and debates trade theses from multiple directional perspectives; (b) strategy discovery and historical backtesting through natural-language interaction; (c) broker connectivity to transmit trade instructions to your connected brokerage account at your direction; (d) market education content; and (e) related analytics, dashboards, and reporting.
Quantorum is strictly non-custodial. We never hold, custody, or have the ability to withdraw or move your funds. Your capital remains in your own brokerage account at all times.
No trade is placed without your explicit confirmation. The Service does not execute trades autonomously. Every trade instruction requires your separate, specific confirmation for that trade before it is transmitted to your broker. This confirmation requirement is a permanent characteristic of the Service and is not a setting that can be disabled.
The Service may, in the course of council analysis, use directive language — including words such as buy, sell, hold, add, reduce, trim, hedge, rotate, or rebalance. Use of this language does not convert any output into an individualised recommendation, and does not create an advisory or fiduciary relationship, regardless of whether the analysis takes into account your connected portfolio, watchlist, risk parameters, or prompts you have provided.
4. User Accounts
You must create an account to access the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for your credentials and all activity under your account, including trade confirmations submitted through it. Notify us immediately at founders@avyren.ai if you suspect unauthorised access. We may suspend or terminate accounts we reasonably believe are compromised, used in violation of these Terms, or used for fraud or abuse.
5. Broker Connectivity and Third-Party Services
The Service allows you to connect a third-party brokerage account to transmit trade instructions. You are responsible for your own brokerage relationship and for complying with your broker's terms. We are not a party to your brokerage agreement. Your broker — not Avyren — executes, clears, and settles all trades and is responsible for order handling, fills, pricing, and margin. We are not liable for broker outages, rejected orders, execution quality, slippage, latency, or any interruption in connectivity between the Service and your broker.
The Service may rely on other third-party providers — including brokerage-connectivity aggregators, market data feeds, AI model providers, hosting, payment processors, and communications tooling. Your use of any such provider may also be governed by that provider's own terms and policies. We are not responsible for the accuracy, security, availability, billing practices, or regulatory status of any third-party provider.
6. Intellectual Property; Feedback
You retain full ownership of any strategies, parameters, configurations, thesis notes, and other material you submit to the Service (“Your Content”). You grant us a limited, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely for the following purposes: (a) to operate and deliver the Service to you; (b) to generate the analyses, backtests, and records you request; (c) to transmit trade instructions you have confirmed to your connected brokerage account; (d) to provide support you have asked us for; (e) to maintain the analysis records described in Section 19; and (f) to comply with applicable law. This licence exists only so that we can operate the Service for you. It grants us no other rights in Your Content, and it ends when Your Content is deleted, except where we are required to retain a record under Section 19 or by law.
We do not use Your Content to train, fine-tune, or otherwise develop any artificial intelligence or machine-learning model, and we do not make Your Content available to any third party for that purpose. Nothing in these Terms should be read as granting us a licence to do so. We may use aggregated, de-identified usage patterns — such as which features are used and where errors occur — to improve the Service; these do not identify you and do not constitute Your Content. Our Privacy Policy describes how our AI model providers handle the inputs we send them on your instruction. If we ever wish to use Your Content to train or develop a model, we will ask for your express opt-in consent beforehand, and you will be free to decline without losing access to the Service.
If we make a strategy marketplace or similar sharing feature available and you choose to publish a strategy through it, you additionally grant us a non-exclusive, royalty-free licence to reproduce, distribute, display, and make that strategy available to other users of the Service for as long as it remains listed, and to retain it for users who obtained it while it was listed. Publishing is optional and requires a deliberate act by you — nothing you create is published unless you choose to publish it. Withdrawing a listing stops further distribution but does not withdraw the licence in respect of users who already obtained the strategy. Separate terms will govern the commercial arrangements for listing or purchasing strategies and will be presented to you before you list or purchase.
The Quantorum platform — including its software, agent architecture, models, interfaces, designs, trademarks, and documentation — is owned by Avyren Inc. and protected under applicable IP law, including pending patent protection. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Service without our prior written consent.
If you provide feedback, suggestions, or ideas about the Service, we may use them without restriction or compensation to you.
7. Acceptable Use
You may not:
- Resell, sublicense, or redistribute the Service without written authorisation;
- Scrape, crawl, or extract data from the Service by automated means without permission;
- Engage in market manipulation, wash trading, spoofing, or other unlawful trading activity;
- Attempt to circumvent, disable, automate, or bypass the trade confirmation requirement in Section 3;
- Reverse engineer, probe, or attempt to reconstruct the Service's agent architecture, prompts, or internal logic;
- Abuse, harass, threaten, or harm other users;
- Upload or transmit malware, viruses, or harmful code;
- Interfere with, disrupt, or overload the Service or its infrastructure;
- Attempt unauthorised access to our systems, networks, or other user accounts; or
- Use the Service for any purpose that violates applicable law or regulation.
8. Billing and AI Tokens
Certain features require the purchase of AI tokens or, following general launch, a base subscription with the option to purchase additional AI tokens. During the beta period, access is pay-as-you-go via AI token top-ups with no subscription required. Payments are processed through third-party payment providers; we do not store full card details.
AI tokens are a prepaid balance redeemable only against features of the Service. AI tokens are not legal tender or currency, are not a bank account, digital wallet, stored-value account, or other payment device, have no cash value, and are not redeemable or exchangeable for money except where required by law. AI tokens are non-transferable, and we do not recognise any purported sale, gift, or transfer of AI tokens between users.
Unless otherwise stated at the time of purchase, purchased AI tokens expire twelve (12) months after the date of purchase if unused. We do not currently offer promotional or complimentary AI tokens. If we do so in the future, such tokens may carry different terms, including a different expiry period, which will be stated when they are issued.
Full billing, refund, and cancellation terms are set out in our Refund and Dispute Policy and Cancellation Policy, incorporated by reference.
9. Trial and Pre-Released Services
Quantorum may offer some or all of its features as a Trial Service, free of charge for a limited period, which we may modify, limit, or cancel at any time without liability. Quantorum may also offer certain features in alpha, beta, or other pre-released form (“Pre-Released Services”) and will use reasonable effort to identify them as such. Pre-Released Services are still under development and may be incomplete, may contain errors, and may be interrupted or behave unexpectedly more often than the general release Service.
10. AI Disclaimer
The Service uses third-party AI service providers together with proprietary methods to generate analysis. AI systems can be wrong, incomplete, outdated, biased, inconsistent, or misleading, and may produce plausible-sounding but inaccurate output. All AI-generated analysis, theses, debate output, and suggestions are provided “as is” for informational and educational purposes and are not guaranteed to be accurate, complete, or suitable for your circumstances.
Council output is analysis, not a recommendation or instruction, regardless of the language used to express it. No trade is executed without your explicit, separate confirmation for that specific trade. The council does not know your full financial circumstances, liquidity needs, tax situation, or legal obligations, and is not a substitute for a licensed financial, legal, or tax professional. You are solely responsible for reviewing and validating any output before confirming a trade or committing capital.
11. Alerts, Notifications, and Monitoring
The Service may provide watchlist alerts, price alerts, event alerts, news alerts, portfolio-related alerts, and similar automated notifications based on criteria you set or criteria we make available. These are informational only — they are not recommendations, trade instructions, or brokerage communications, and are not a promise that any position should be bought, sold, or monitored in a particular way.
Alerting functionality depends on third-party data, connectivity, device settings, and network availability. Alerts may be delayed, incomplete, duplicated, misfired, or never delivered. Your use of alerts does not create any duty for us to monitor markets, your portfolio, or your account continuously, or to notify you of any particular event. Even where the Service appears to continuously watch your portfolio, this does not constitute an advisory monitoring obligation, supervisory duty, or real-time fiduciary service. You remain solely responsible for monitoring your holdings, trades, and risk exposure.
12. Market Data and Third-Party Content
The Service relies on third-party market data feeds and other external sources. Data may be delayed, incomplete, inconsistent, unavailable, or incorrect, and external sources may themselves contain errors. You should confirm information against official brokerage statements, exchange feeds, and other primary sources before acting on it. References to external data or sources are informational only and do not constitute an endorsement or a suitability determination.
13. Trading and Financial Disclaimer
Avyren Inc. is a software and technology company. We are not a broker-dealer, investment adviser, portfolio manager, or financial institution, and are not licensed or registered as such in any jurisdiction. Nothing provided through the Service constitutes financial, investment, trading, tax, or legal advice, and nothing should be construed as a personalised recommendation.
The Service provides analysis and execution support at your direction only. We do not exercise discretion over your account, do not manage your capital, and do not place trades on your behalf without your specific confirmation.
Trading in financial instruments — including options and other derivatives — involves substantial risk of loss and is not suitable for every investor. You may lose some or all of your invested capital. Past performance of any strategy, backtest, or analysis is not indicative of future results, and backtested results are hypothetical, do not reflect actual trading, and are subject to hindsight bias. You are solely responsible for all trading decisions and their outcomes. We strongly recommend consulting qualified financial, legal, and tax professionals before making investment decisions.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, or availability. We do not warrant that the Service will be uninterrupted, secure, error-free, or suitable for trading, investing, tax, or legal purposes.
15. Limitation of Liability
To the maximum extent permitted by law, Avyren Inc. and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, or for any loss of profits, revenue, goodwill, data, business opportunity, trading opportunity, or investment value, arising out of or related to your use of the Service.
Without limiting the foregoing, we will not be liable for losses arising from investment decisions, trading activity, missed opportunities, inaccurate or delayed data, AI output, alerts or notifications that are delayed or not delivered, service interruptions, account compromise, or third-party provider or brokerage-connectivity failures.
To the extent permitted by law, our aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of USD 100 or the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
Any claim arising out of or relating to the Service must be commenced within one (1) year after the cause of action accrues, or it is permanently time-barred.
16. Indemnification
You agree to defend, indemnify, and hold harmless Avyren Inc. and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your trading activities and decisions; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.
17. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.
Unless prohibited by applicable law, any dispute, controversy, or claim between you and Avyren Inc. arising out of or relating to these Terms or the Service (a “Claim”) will be resolved by final and binding individual arbitration, administered by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect, seated in Delaware, before a sole arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Claims will be arbitrated on an individual basis only. Class arbitrations and class actions are not permitted, and you and Avyren Inc. each waive the right to a jury trial and to participate in a class action or class arbitration, except that: (i) disputes within the jurisdiction of a small claims court may be brought there on an individual basis; (ii) disputes seeking solely injunctive relief may be brought in court; and (iii) intellectual property disputes may be brought in court.
If ten (10) or more arbitration demands involving similar issues are filed within a short period, or are filed by coordinated counsel, the parties agree this constitutes a Mass Arbitration to be resolved under the applicable mass-arbitration procedures of the administering body.
Nothing in this Section removes any right you may have under the consumer protection law of your country of residence that cannot be waived by agreement.
18. Data and Privacy
We process personal information in accordance with our Privacy Policy, available on our website and incorporated into these Terms by reference. The Service uses third-party service providers — including AI model providers, hosting and infrastructure providers, observability tooling, broker-connectivity providers, video delivery providers, and payment processors — to deliver its functionality. A current, named list of these providers, the category of personal data each processes, and its country of processing is maintained in an annex to our Privacy Policy and updated as our provider roster changes. Where we add a new provider that processes the analysis inputs you submit or your brokerage connection data, we will give you advance notice by email, in accordance with our Privacy Policy, before that provider begins processing in production.
Our primary infrastructure is located in the United States, and the analysis inputs you submit are processed there. A subset of technical operational logs, which may include prompt content and user identifiers, is processed by an observability provider located in the European Union. Cross-border transfers of personal information are made subject to binding contractual protections, as described in our Privacy Policy.
We do not currently use third-party analytics, advertising, or tracking tools. Any measurement we perform is limited to first-party, aggregated analysis of our own service, which does not identify you. If we adopt a third-party analytics tool in the future, we will disclose it in our Privacy Policy, and update that Policy accordingly, before the tool is put into use.
Your rights in respect of the personal information we hold about you, including access, correction, and deletion, and the limited circumstances in which we are required by law to retain records after a deletion request, are set out in our Privacy Policy.
While we take reasonable measures to protect the data you store on the Service, you are responsible for maintaining your own records of important strategies, configurations, and account data. We are not liable for any loss, corruption, or unavailability of data stored in or processed through the Service.
19. Analysis Records and Audit Trail
The Service maintains a record of council analyses generated for your account and of the trade confirmations you submit. These records are retained for twenty-four (24) months from the date of the analysis, after which they may be deleted. Billing and transaction records are retained for seven (7) years in accordance with the South African Companies Act, applied uniformly across our corporate structure regardless of your location.
You may request a copy of the analysis records associated with your account by contacting founders@avyren.ai. Records are provided as generated at the time and are not re-run, re-validated, or reconstructed on request.
AI models, model versions, data sources, and system configurations change over time. A record reflects the output produced by the configuration in effect when the analysis was generated. It is not a representation that the same inputs would produce the same output today, and it is not an audited or independently verified statement of performance.
20. Termination
We may suspend or terminate your access at any time, with or without notice, for conduct we believe violates these Terms, is harmful to other users or the Service, or for any other reason at our discretion.
If we terminate your account for a breach of these Terms, for fraud or abuse, or for unlawful activity, any unused AI token balance is forfeited and is not refunded. If we terminate or discontinue your access for any other reason, or if we discontinue the Service, we will refund the unused portion of any prepaid subscription period and any unused AI token balance.
Termination does not close, affect, or interfere with your brokerage account or any open positions in it — you remain solely responsible for managing those positions. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — remain in effect.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. To the extent a dispute is permitted to proceed in court under Section 17, you and Avyren Inc. agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, except where applicable law requires otherwise.
